Terms of Service
Last updated: 1 January 2025These Terms of Service govern the relationship between UIforgelab ("Studio", "we", "us") and clients ("Client", "you") engaging our design and development services. By commissioning work, you agree to these terms.
1. Services
UIforgelab provides UI/UX design, web development, and related digital services as described in individual project proposals or scope documents. The specific deliverables, timeline, and price for each project are defined in a written scope document agreed by both parties before work begins.
2. Proposals and Scope Documents
Each project begins with a written scope document outlining deliverables, revision rounds, timeline, and price. The scope document supersedes any prior verbal or informal discussion. Work outside the agreed scope constitutes a change request and is subject to additional charges and a revised timeline.
3. Payment Terms
Payment is structured as follows unless otherwise agreed in writing:
- 50% deposit due before project commencement
- 50% balance due on delivery or at the final milestone
- For projects exceeding €5,000, milestone-based payment schedules may apply
Invoices are payable within 14 days of issue. Late payments accrue interest at the statutory Belgian commercial rate (currently 8% above the ECB base rate). Overdue invoices may result in work suspension.
All prices are exclusive of VAT where applicable. Belgian VAT (21%) applies to clients without a valid EU VAT number.
4. Revisions
The number of revision rounds included in each package is specified in the scope document. A revision is defined as a set of consolidated feedback provided in a single communication. Additional revision rounds beyond the agreed number are billed at €95/hour.
Revisions that alter the fundamental direction of the project or require re-doing completed work are treated as change requests, not revisions.
5. Client Responsibilities
You agree to:
- Provide content, assets, and information required for the project in a timely manner
- Designate a single point of contact with approval authority
- Provide consolidated feedback within 5 business days of receiving deliverables
- Ensure that all materials you provide do not infringe third-party intellectual property rights
Delays caused by late client feedback or content delivery may result in timeline adjustments and are not the Studio's responsibility.
6. Intellectual Property
Upon receipt of full payment, UIforgelab assigns to the Client full ownership of all custom deliverables created for the project, including design files and source code.
UIforgelab retains the right to display the project in its portfolio and promotional materials unless explicitly agreed otherwise in writing (white-label engagements). Third-party components, fonts, stock assets, or open-source libraries used in projects are subject to their respective licences, which are the Client's responsibility to maintain.
7. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party. This obligation survives termination of the agreement. UIforgelab will sign a mutual NDA on request for agency partnerships or sensitive projects.
8. Cancellation and Termination
Either party may terminate the project with 14 days' written notice. In the event of termination:
- Work completed to date is invoiced at the agreed rate
- The deposit is non-refundable
- All deliverables completed and paid for are transferred to the Client
UIforgelab reserves the right to terminate a project immediately for non-payment or breach of these terms.
9. Limitation of Liability
UIforgelab's total liability for any claim arising from a project shall not exceed the total fees paid for that project. We are not liable for indirect, consequential, or incidental losses including lost profits or revenue.
We do not warrant that deliverables will be error-free after the post-launch support period or that the site will remain compatible with future browser or third-party platform updates.
10. Post-Launch Support
Each project includes a post-launch support period as specified in the scope document. Support covers bug fixes directly related to the delivered work. It does not cover new feature development, content changes, or issues arising from third-party services.
11. Governing Law
These Terms are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Liège, Belgium.
12. Changes to These Terms
We may update these Terms of Service from time to time. Applicable terms are those in force at the time of project commencement.
